“Client” / “User”: Any individual or entity using NKU’s Services.
“Services”: All solutions provided by NKU, including software development, mobile and web applications, AI/LLM solutions, SMM/SEO, consultancy, and products like Factority, TrueBooks, Vitals, Taksim, MOO, Orbit, NKU-CRM etc.
“Content”: Any text, images, data, code, or material uploaded, shared, or generated via our Services.

2. Use of Services

You agree to use our Services only for lawful purposes.
Your musy not:
- Attempt unauthorized access to NKU systems.
- Spread malware, spam, or malicious code.
- Infringe upon intellectual property or data rights.
- Use the Services in violation of applicable laws or regulations.

3. User Responsibilities

You must provide accurate and up-to-date information when engaging with our Services.
You are responsible for maintaining the confidentiality of your accounts and credentials.
You agree not to engage in fraudulent, abusive, or harmful behavior while using NKU’s Services.

4. Intellectual Property

All trademarks, logos, software, content, and materials on NKU websites or Services are owned by NKU or licensed to us.
You may not copy, modify, reproduce, or distribute our intellectual property without prior written consent.

5. Privacy & Data Protection

Your use of our Services is subject to our Privacy Policy.
NKU follows global best practices aligned with GDPR and ISO 27001 to ensure data security and privacy.

6. Security & Compliance

NKU implements:
- Encryption (in transit & at rest).
- Role-based access controls & MFA.
- Regular security audits & vulnerability assessments.
Our compliance framework is aligned with ISO 27001 Information Security Standards and SOC2 principles of security, availability, and confidentiality.

7. Payment & Billing (if applicable)

Payment terms for NKU services and products will be outlined in project agreements, proposals, or invoices.
Unless otherwise stated, all fees are non-refundable.

8. Termination of Services

NKU reserves the right to suspend or terminate Services if:
- You breach these Terms.
- Payment obligations are not met.
- Illegal or harmful activities are detected.
Clients may terminate their engagement by providing written notice, subject to agreed contractual terms.

9. Disclaimers

NKU provides Services “as is” and “as available.”
We do not guarantee uninterrupted access, error-free functionality, or specific business outcomes unless explicitly agreed in writing.

10. Limitation of Liability

NKU shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, goodwill, or data.
Our total liability under these Terms shall not exceed the fees paid by the Client for Services in the preceding 6 months.

11. Third-Party Services

NKU may integrate or rely on third-party platforms (e.g., Microsoft Azure, AWS, Google Cloud).
We are not responsible for third-party terms, availability, or performance.

12. Updates to Terms

NKU may update these Terms from time to time. Updates will be posted on our website with the revised “Last Updated” date.
Continued use of our Services after updates constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Pakistan.
Any disputes shall be resolved in the courts of Lahore, Pakistan.
For international clients, disputes may be subject to arbitration under ICC (International Chamber of Commerce) rules.
